Terms of Service
1. Acceptance of these terms
These Terms of Service ("Terms") are an agreement between you and Athanor Solutions LLC ("Athanor," "we," "us"), a Virginia limited liability company. They apply when you use our website at athanorsolutions.com or our client portal at app.athanorsolutions.net (including the "Athanor Client Portal" app), together the "Services." By using the Services you agree to these Terms. If you do not agree, do not use the Services.
2. Who may use the Services
The Services are intended for businesses and for individuals who are at least 18 years old and can form a binding contract. By using them you represent that you meet these requirements and, if you act for a company, that you are authorized to do so on its behalf.
3. What the Services are
The website is an informational marketing site describing our automation and AI consulting offerings and letting you contact us or book a call. Information on it is general and may change; it is not a binding offer, professional advice, or a guarantee of any result.
The client portal is a private, login-only area for our clients to view project status, exchange messages and files, review documents, and sign agreements electronically. Portal access is provided to clients we onboard; it is not open to the general public.
4. Contacting us and booking
Submitting the contact form or booking a call starts a conversation; it does not create a client relationship or any obligation on either side. A client relationship begins only when we both agree to work together under a Services Agreement.
5. Portal accounts
- You are responsible for keeping your login credentials and any sign-in link confidential and for all activity under your account.
- You agree to provide accurate account information and to keep it current.
- Notify us promptly if you believe your account has been accessed without authorization. We may suspend or revoke access, or invalidate active sessions, to protect the portal.
- Passwords are stored only as an unreadable cryptographic hash. If you lose access, we reset it by sending a new sign-in link — we cannot recover an old password.
6. Acceptable use
When using the Services, you agree not to:
- use them for any unlawful purpose or in violation of these Terms;
- attempt to gain unauthorized access to any account, system, or data, or probe, scan, or test the security of the Services;
- interfere with or disrupt the Services, including by introducing malware or by overloading, scraping, or automating access beyond normal use;
- upload or transmit content you do not have the right to share, or that is unlawful, infringing, or malicious;
- misrepresent your identity or impersonate any person or entity.
7. Files and content you provide
When you upload files, references, messages, or other content to the portal, you keep ownership of it. You grant us a limited license to store, display, and use that content solely to provide the Services and deliver your project. You represent that you have the rights to the content you provide and that it does not infringe anyone's rights or violate any law. We may remove content that violates these Terms.
8. Intellectual property
The Services themselves — our site, portal, branding, text, and design — are owned by Athanor and protected by law. These Terms do not transfer any ownership of them to you. Ownership of the specific deliverables we build for a paying client is governed by that client's Services Agreement, not by these Terms.
9. Third-party services and links
The Services rely on and may link to third-party tools (for example, Calendly for scheduling and Stripe for payments). We do not control those services, and your use of them is subject to their own terms and privacy policies. We are not responsible for third-party services.
10. Electronic communications and signatures
By using the Services you consent to receive communications from us electronically, and you agree that electronic records and signatures satisfy any legal requirement that a communication or signature be in writing. Where you sign a document in the portal, you do so by entering your name and confirming agreement; that action has the same legal effect as a handwritten signature under the U.S. E-SIGN Act and applicable state law, and the specific terms of any agreement you sign control that document.
11. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, and we do not guarantee any business outcome, revenue, lead volume, or search ranking.
12. Limitation of liability
To the fullest extent permitted by law, Athanor will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or data, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services (as distinct from a paid engagement, which its Services Agreement governs) will not exceed one hundred U.S. dollars ($100).
13. Indemnification
You agree to indemnify and hold harmless Athanor from any claims, damages, and costs (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, or content you provide that infringes a right or violates a law.
14. Suspension and termination
We may suspend or end your access to the Services at any time if you violate these Terms or to protect the Services or others. You may stop using the Services at any time. Provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — survive termination.
15. Relationship to the Services Agreement
If you are a paying client, your Services Agreement (with its Scope Sheets and Data-Handling Notice) governs the services we deliver. If anything in these Terms conflicts with your Services Agreement regarding that paid work, the Services Agreement controls.
16. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. The state and federal courts located in Virginia will have exclusive jurisdiction over any dispute relating to these Terms or the Services, and you consent to that jurisdiction and venue.
17. Changes to these Terms
We may update these Terms as the Services or the law change. We will post the revised version here with an updated date. Continuing to use the Services after a change means you accept the updated Terms.
